Constitution- Wall Soccer Club Inc.
Article I- Name
This organization shall be known as the Wall Soccer Club, Incorporated.
Article II- Objectives
The objectives of the club shall be to promote soccer within the Township of Wall and to enjoy the spirit of fair play and sportsmanship. To achieve these objectives the club will provide a supervised program of soccer games, practices, clinics, tournaments and associated activities.
Article III- Membership
Player Members: Any child meeting the age requirements and living within the boundaries of Wall Township and/or as approved by the Board of Directors shall be eligible for participation, but shall have no rights or duties in the management or property of the club.
Regular Members: Parents or guardians of player members shall automatically become regular members upon payment of registration fees. All officers, board members, committee members, coaches, volunteer referees and other elected or appointed officials are also regular members. (Only exception is non resident members article XI )
Honorary Members: Any person not a regular member may by a majority vote of the Board of Directors become an honorary member.
Termination: Yearly membership may be terminated by resignation, lack of registration fees or action by the Board of Directors.
Article IV- Dues and Registration Fees
Dues or fees for player and/or other members may be fixed at such amounts as the Board of Directors shall determine. No child shall be restricted from participation due to inability of his/her family to pay a registration fee.
Article V- Club Structure
The Club shall include leagues at several age levels, each comprised of a number of teams as determined by the number of registrants and the Board of Directors.
Article VI-Annual Meeting
The Annual Meeting of the regular members of the Club shall be the regular November meeting with the purpose of electing Directors, receiving reports of funds and progress, and for the transacting of such other business as may come before the meeting. All regular members must be notified by mail or posting in local newspaper or website posting. Only regular members may vote at the annual meeting. The Corresponding Secretary shall certify who is a regular member for voting purposes by use of a roster and/or acceptable means.
Article VII- Board of Directors
The management, property and affairs of the Club shall be vested in the Board of Directors. The Directors shall upon election at the annual meeting. There shall be a minimum of twelve (12) Board members, One third of which shall come up for re-election each year. If a vacancy occurs it may be filled by a majority vote of the remaining members of the Board. The maximum number of Board members shall be sixteen (16) and interested members of the Club shall be required to file written notice to run for election to Board with the Board Secretary. At least three weeks prior to election and the election shall be determined by a simple plurality if a majority is not received. One half of the Board members shall constitute a quorum.
The Board may by a 2/3 majority vote of those present discipline, suspend, or remove any Director, officer, committee member, coach, referee, or player of the Club for just cause. Board members must attend at least two (2) meetings per quarter and must notify the President if unable to attend a meeting and must supply a valid reason for not attending in order to be excused.
Article VIII-Officers, Duties and Powers
At the November meeting following the Annual Meeting Board elections, the Directors shall elect officers providing there be a quorum present. The officers of the Club shall be President, First Vice President, Second Vice President, Corresponding Secretary, Recording Secretary and Treasurer; all of whom shall hold office until their successors are duly elected. The officers shall constitute the Executive Board and all members of the Executive Board shall have the authority to sign Club checks.
President:
The President shall be responsible for conducting the affairs of the Club and for executing the policies established by the Board of Directors. He/She shall present a report of the condition of the club at the Annual Meeting.
The President or his official designate shall examine the application of each player candidate and certify their eligibility before the child may participate. The President shall appoint all committees as needed to facilitate the objectives of the Club.
First Vice President:
The First Vice President shall perform the duties of the President in the absence of the President. He/She shall be the Traveling Division Director and be responsible for running the Traveling Division of the Club. He/She shall hold as many Traveling meetings as necessary to keep the coaches informed of rules, tournaments, and Club responsibilities shall appoint a Traveling Secretary to take minutes of traveling meetings and have copies made and distributed to the Board of Directors. He/She shall bring any suggestions or decisions of the Traveling committee to the Board for approval and shall be the Tournament Director and shall work with the Ways and Means committee on fund raising for the Traveling division and the Equipment Director for equipment for Traveling. He/She shall see that the Club is represented at league meetings and assist the coaches with necessary forms for the league and state approval and shall be the field coordinator for the Traveling division and shall have the final word on times of games and fields for games and shall set maintenance and refreshment stand schedules for Traveling. He/She shall also prepare annually rules governing the Traveling Division for submission to the Board for discussion, revision and approval.
Second Vice President:
The Second Vice President shall perform the duties of the First Vice President and/or President in their absence. He/She shall be the House League Director and shall run the House League Division of the Club. And shall hold meetings with League Directors to assist them in setting up teams, securing coaches, making rules for House league and shall keep in touch with league directors throughout the season. He/She shall appoint a person or committee to prepare the House league schedule and shall be in control of the House league and His/Her decisions shall be final unless appealed to the Board. He/She shall be the field coordinator for the House league and shall be in charge of the referee co-ordinator who he/she shall also appoint. He/She shall also prepare annually rules governing the House league for submission to the Board for discussion, revision and approval.
Corresponding Secretary:
The Corresponding Secretary shall take care of any correspondence the Board feels necessary and keep copies of same for Club files and notify members of the Annual Meeting. He/she shall maintain appropriate files, mailing lists, and registration master files; notify members by mail of Traveling team tryouts; and be in charge of preparing and mailing the Club newsletter.
Recording Secretary:
The Recording Secretary shall be responsible for recording the activities of the Club, keeping minutes of Board meetings, typing and send copies of said minutes to all Board members within ten (10) days of the meeting and taking roll call at Board meetings and keeping attendance records thereof. He/She shall also keep a copy of all minutes in the Secretary file for future reference.
Treasurer:
The Treasurer shall take care of all the Club financial business, receive all monies and securities and deposit same in depository designated by the Board and shall keep necessary income and expense records and make written report of same for each Board meeting.
Article IX- Meetings
The Board of Directors shall meet regularly to set policy and conduct the business of the Club. Special meetings may be called at the discretion of the President either for the General Membership, Board of Directors or Executive Board. " Roberts Rules of Order" shall govern all procedures at all meetings with the first part of each regular Board meeting open to General Membership for their participation.
Article X- Amendments
This constitution may only be amended by a two thirds (2/3) majority vote of those members present at any stipulated Board meeting, provided a quorom is present and the Amendment has been read orally at least three (3) times with a maximum of two readings at any one meeting. All Board members must be notified in writing of the proposed Amendment (s) at least ten days prior to the meeting set for final reading.
Article XI - Non Resident Members
Any member that is not a resident of the Township of Wall shall have no voting rights and may not serve on the Board of Directors of the club. Such members shall coach, volunteer in any other manner as the board so approves but may not hold a Board of director or Executive board position In the club.
Article XII- By Laws
By Laws, policies and all other modus operandi as established by the Board for purposes of fulfilling the obligations of this constitution shall be condensed to writing reviewed, amended and approved at least once annually by the Board or as the board sees fit.
